Commercial Contract Paralegal

The Commercial Contracts Paralegal will report directly to the General Counsel and assist in the successful administration of the legal department function. The successful individual in this role must maintain a comprehensive understanding of the values and ethical principles upon which ConcertoCare operates, as well as the highest level of personal and professional conduct. The Commercial Contracts Paralegal must remain diligent in completing assignments, meeting deadlines and consistently demonstrate the ability to hold information in confidence.
This is a “get into the weeds” position that requires high energy, deep engagement, and a strong work ethic. This individual brings an incredible ability to act as a representative of the Legal and Growth teams to provide exceptional customer service to accomplish goals. The individual must demonstrate cooperation and collaboration across the entire organization and with ConcertoCare’s partners.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Review, draft, and negotiate contracts for both third-party vendor agreements and customer contracts.
- Propose and implement a contract management process for both use cases from request to contract execution.
- Collaborate with internal teams where required, to finalize transactions.
- Learn, utilize and optimize ConcertoCare’s contract management system.
- Assist with preparation of a client-contract playbook by evaluating current contracts and consulting with internal stakeholders to understand how and why the company reached specific contract positions. This includes review of and recommendations regarding:
- the internal policies that restrict or mandate certain contract terms (for example, indemnification and liability cap requirements);
- when particular contract templates and clauses should be used and in what circumstances;
- when alternative contract language should be used; and
- what specific approvals are needed to use the various contract templates and clauses.
- Track deviations from standard contract positions and determine the extent to which the company has agreed or is willing to agree to alternative positions, including tracking approvals for deviation.
- Draft multiple fallback positions to use when a counterparty pushes back on a contract clause.
- Draw from negotiation experience to determine how business needs, compliance, legal and finance obligations, the company’s risk tolerance, and the geographic areas that apply to the contract affect the company’s contract positions.
- Prepare negotiation guidelines that will clarify the internal rationale behind each contract position.
- include key negotiation issues, and common pitfalls.
- provide the external argument to be made to the counterparty to support the company’s positions.
- develop checklists for reviewing contracts that are prepared by the counterparty to assist counsel
- confirm that the organization's required terms are included in the contract; and
- revise the contract to insert any missing terms that are priority items for the organization.
- Review, update, and manage client-contract templates.
- Prepare contract summaries for customer agreements.
- Continuously update contract templates and contract playbooks through periodic reviews that reflect:
- transaction outcomes and lessons learned;
- internal and external feedback; and
- changes to the company’s circumstances, applicable law, industry standards, and market trends
QUALIFICATIONS
- 3-5+ years’ experience in-house at a company in healthcare industry focused on commercial contract law
- Paralegal certificate preferred
- Exceptional written and oral communication and organizational skills
- Excellent computer skills with proficiency in Microsoft (Word, Excel, PowerPoint, etc.), DocuSign, SharePoint, LinkSquares
- Experience with corporate governance, contracts and other related matters preferred
- Adaptable and able to function in a fast paced, highly fluid startup environment
Base Salary/ Wage Range $85,000 to $100,000 plus annual bonus. Compensation for the role is commensurate with the candidate’s qualifications, skills, competencies, and experience and may fall outside of the range shown.
